Server Co-Location Agreement
The following agreement is by and between Internet Services of New England (ISONE),
PO Box 1744, Merrimack, NH, USA and

("Client") of (complete Address, no PO Boxes please)

WHEREAS, ISONE is an information provider connected to the Internet. ISONE offers
storage and transfer services over the Internet through access to its Local Area
Network;
WHEREAS, Client is (nature of the business) ______________________________________ and
seeks to utilize ISONE's network for its own purposes;
WHEREAS, the parties acknowledge that the Internet is neither owned nor controlled by
any one entity; therefore, ISONE can make no guarantee that any given reader shall be
able to access ISONE's network at any given time. ISONE represents that it shall make
every good faith effort to ensure that its network is available as widely as possible
and with as little service interruption as possible;
NOW THEREFORE, in consideration of the mutual promises contained herein, the parties
agree as follows;
ISONE will provide the customer with operational space for their system(s).
ISONE will provide the customer with an Ethernet (10BaseT or Thinnet) connection to
ISONE's link to the Internet backbone for each of the customer's systems.
ISONE will notify the customer prior to any planned network outages such as relocation
and maintenance of ISONE's networking devices.
ISONE will notify the customer as soon as possible of any unscheduled outages such as
power or network failures and natural disasters.
The customer will provide ISONE with administrative (root on Unix platforms, and
administrator on Windows 95 and/or Windows NT platforms) passwords for all co-location
systems, for the purpose of proper shutdown for planned outages, and for the stopping of
erroneous or run away processes that are degrading network performance.
ISONE will ensure that any administrative passwords provided by the customer will be used
only for the purposes described.
ISONE will provide the customer with immediate access to their equipment between the hours
of 6pm and 9pm Monday through Friday. ISONE will provide the customer access to their equipment
outside of this time frame with sufficient prior notification by the customer.
The customer guarantees that all of their systems involved in the co-location agreement will not
be used in/with/for illegal activities. The customer also guarantees that all of their systems
involved in the co-location agreement will not be used in/with/for adult, pornographic, and/or
hate groups activities.
The customer agrees that ISONE will not be held responsible for loss of or damage to their
equipment due to but not limited to natural disaster, fire, and theft. The customer also
acknowledges that all of their systems involved in the co-location agreement are
covered under the customer's insurance policy.
The customer agrees that ISONE will not be held responsible for loss of business due
to the use of these services.
Terms
The terms of this agreement will be between ____/____/199__ and ____/____/199__.
The customer agrees to pay the sum of $________per system as a setup fee that is
non-refundable.
Monthly fees are: $________/a month for EACH system involved in the co-location
agreement
The customer agrees to pay the sum of $_________ per month for the co-location of
_____system(s). This includes bandwidth usage of ________ with additional charges of
$_______/___ over that amount used per month.
All payments are due monthly with the first month paid in advance. There will a Finance
charge added for late payments over 15th of each month. Additionally service might be
interrupted, if payment is not received on due date.
The terms of this agreement are found acceptable by both the customer and ISONE.
